TL;DR: Bookkeeping, unaudited financial statements and XBRL filing are layers, not alternatives: most private limited companies need all three each year to complete the AGM and annual return.
An audit is needed only if you fail ACRA’s small company test, and since 25 February 2026 companies with revenue and total assets each of $500,000 or below file simplified XBRL.
Compare accounting services for small business Singapore providers advertise and the same three terms appear everywhere: bookkeeping, unaudited accounts and XBRL. They are not a menu. They are a sequence. Your books feed your financial statements, your financial statements feed your AGM and tax return, and an XBRL version of those statements is filed with ACRA alongside the annual return. What differs between companies is how much of each layer you can handle yourself, whether an audit sits on top, and which XBRL format applies.

What do bookkeeping, unaudited accounts and XBRL each cover?
Each service produces a different output for a different deadline. This is the quickest way to see where they fit:
| Service | What you get | Who needs it | When |
| Bookkeeping services | Recorded transactions, bank reconciliations, ledgers and management reports | Every trading company | Monthly or quarterly |
| Unaudited financial statements | Balance sheet, profit and loss and notes prepared under the prescribed accounting standards | Companies that qualify for audit exemption | After year end, before the AGM |
| Audited financial statements | Financial statements with an independent auditor’s report | Companies that fail the small company test | After year end, before the AGM |
| XBRL filing | Financial statements in ACRA’s data format, full or simplified | Most companies filing an annual return | With the annual return, within 7 months of year end |
Do I need bookkeeping services if I already use accounting software?
Usually yes, unless someone in-house has the time and skill. Software such as Xero records transactions, but someone still has to code them, reconcile every bank account and flag items that are not tax-deductible. Clean books are what make the year-end work quick and cheap; messy books turn a two-week financial statement job into a two-month reconstruction. Many SMEs keep day-to-day entry in-house and pay for bookkeeping services quarterly to review and reconcile, which is often the best value split.
Do I pass the audit exemption small company test?
You pass if your private company meets at least two of three criteria for two consecutive financial years: total annual revenue of $10 million or below, total assets of $10 million or below, and 50 employees or fewer. If your company belongs to a group, the whole group must meet the same thresholds on a consolidated basis. These are the current rules set out by ACRA in its February 2026 review announcement, which is also consulting on raising the revenue and asset thresholds. ACRA explained:
“Since the introduction of the framework in 2015, companies’ average total assets and revenue have grown.” Accounting and Corporate Regulatory Authority (ACRA)
Until any new thresholds take effect, plan on the current ones. The employee limb is the one most owners clear without thinking about it. By the numbers: of 356,600 SMEs in Singapore in 2024, 337,700 (94.7 percent) had fewer than 25 workers, according to a Ministry of Manpower parliamentary reply in March 2026. So for most firms, revenue and assets decide the outcome. Our guide Small company: am I exempt from audit? works through the group test in more detail.
When are unaudited financial statements enough?
Unaudited financial statements are enough once your company qualifies under the audit exemption small company rules, but they are formal accounts, not a software summary. ACRA is clear that exempt companies must keep proper accounting records and prepare financial statements in accordance with prescribed accounting standards. Shareholders holding at least 5 percent of issued shares can still require an audit. These statements are laid before members at the AGM, or sent to members within five months of year end if the company wants to skip holding an AGM, and they also underpin your Form C-S tax computation. Our walkthrough of the AGM and annual return for a small private limited company shows how the pieces fit together.
Which XBRL filing applies to my company?
From 25 February 2026, ACRA’s financial statements filing requirements split companies into clear groups:
- Simplified XBRL plus a PDF copy authorised by directors: smaller, non-publicly accountable companies, meaning revenue and total assets for the current financial year are each $500,000 or below.
- Full XBRL: all other Singapore-incorporated companies required to file, unless a specific category applies.
- PDF only: companies limited by guarantee, and companies using other accounting standards with approval.
- Optional: solvent exempt private companies (fewer than 20 members, no corporate shareholder, able to pay debts as they fall due) may choose not to file financial statements.
XBRL filing happens together with the annual return, due seven months after financial year end for non-listed companies. ACRA charges a late lodgement penalty of $300 if you file up to three months late and $600 beyond that. Our explainer What is XBRL filing and do I need it? covers the format itself.
How do I choose SME accounting services Singapore companies actually need?
Work from your company’s profile, not a price list. A dormant company needs dormant financial statements and a tax return, little more. A trading company under $500,000 in revenue and assets typically needs light bookkeeping, unaudited financial statements, simplified XBRL and Form C-S (Lite). A larger audit-exempt company needs regular bookkeeping, fuller accounts and full XBRL. A company that fails the small company test also needs an independent auditor, and the accountant delivers audit-ready books. When comparing SME accounting services Singapore firms offer, check that the quote names each layer you need, including XBRL, AGM paperwork and tax filing, so nothing is billed as an extra later.

Frequently Asked Questions
Do small companies in Singapore need an audit?
Not if they meet at least two of ACRA’s three small company criteria for two consecutive financial years and, for groups, the group passes too.
Are unaudited financial statements filed with ACRA?
Generally yes, in XBRL format with the annual return. Solvent exempt private companies may opt out of filing them.
What is simplified XBRL?
A shorter XBRL format for smaller, non-publicly accountable companies with revenue and total assets each of $500,000 or below, filed with a PDF copy of the accounts.
Can I do my own bookkeeping?
Yes. Directors remain responsible for proper records, so many owners keep daily entry in-house and outsource reconciliation and year-end accounts.
When is the annual return due?
For non-listed companies, within seven months after the financial year end. The AGM is due within six months unless the company is exempt or has dispensed with it.
