Definition of Nominee:

A director is a nominee if the director is accustomed or under an obligation whether formal or informal to act in accordance with the directions, instructions or wishes of any other person.

A shareholder is a nominee if the shareholder satisfies either or both of the following:

(i) Is accustomed or under an obligation (whether formal or informal) to vote, in respect of shares in the company of which the shareholder is the registered holder, in accordance with the directions, instructions or wishes of any other person;

(ii) Receives dividends, in respect of shares in the company of which the shareholder is the registered holder, on behalf of any other person.

If you are an Authorised Person (and not a Director) acting on behalf of the Company, kindly ensure you have the appropriate documentation from the Board of Directors or Sole Director to support your declaration on behalf of the Company.
